Shader: unlit fade background at infinity?

I've been researching for 2 days now and can't get to the bottom of it. I've read and studied shaders but it's a whole science by itself. Thing is I can't figure out what bits from various shaders to put together to get one that does:

  1. It renders a background at infinity like one of the six sides of the skybox (unlit).

  2. It support UV tiling and offset (I guess I know).

  3. It renders behind all but the skybox itself (simple - render queue = 1001).

  4. (optional) It stays in the view independently of the camera (should simplify things?).

  5. It has a slider to fade the texture (that bit I guess I nailed it).

Looking at the skybox/6 sides shader I saw 6 passes but it's so alien language for me that I can't tell if the code responsible with "infinity" is in those passes or above :)

Please don't suggest workaround code in the MonoBehaviour scripts, I need the whole thing in shader.
